This document constitutes a legally binding Public Offer (hereinafter referred to as the "Agreement," "Terms," or "Terms and Conditions") and governs the relationship between GOOD WOOD FURNITURE TRADING L.L.C., a company legally established and operating in the Emirate of Dubai, United Arab Emirates, and any natural or legal person (hereinafter referred to as the "Customer," "User," or "You") who accesses the website goodwood.ae (hereinafter referred to as the "Website") and/or places an order for the purchase of goods.
By accessing the Website, creating an account, or placing an order, you acknowledge that you have read, understood, and unconditionally agree to be bound by all the terms and conditions contained herein. This Agreement, together with our Privacy Policy and your confirmed Order, constitutes the entire and exclusive agreement between you and GOOD WOOD FURNITURE TRADING L.L.C. If you do not agree with any part of these Terms, you must immediately cease using this Website and refrain from placing any orders.
1. Introduction and Binding Agreement

It is essential to distinguish between the company's registered address and its operational address. The registered address in Business Bay is the official legal address for all formal correspondence and legal notices as required under the corporate laws of the United Arab Emirates. The operational address in Ras Al Khor is the location for our warehouse, showroom, and the primary point for customer collections and logistical coordination. This clear separation ensures both legal compliance and operational clarity for our customers.
1.2. Scope and Acceptance of Terms
These Terms and Conditions shall apply to all sales of products (hereinafter referred to as "Products") by the Seller to the Customer through the Website. The act of completing the checkout process and submitting an order on the Website constitutes a formal and unconditional acceptance of this Public Offer in its entirety. Upon the Seller's acceptance of the Customer's order, as detailed in Section 3 of this Agreement, a binding sales contract is formed, governed exclusively by these Terms. This process is in full compliance with the UAE's legal framework for electronic transactions, which recognizes the validity of contracts formed via electronic means.
21.3. Definitions
For the purpose of this Agreement, the following terms shall have the meanings ascribed to them below:
- "Seller," "We," "Us": Refers to GOOD WOOD FURNITURE TRADING L.L.C.
- "Customer," "You": Refers to any individual or entity purchasing Products from the Website.
- "Website": Refers to the e-commerce platform located at the domain goodwood.ae and all its subdomains.
- "Products": Refers to the furniture, decor, and other goods offered for sale on the Website.
- "Order": Refers to the Customer's formal offer to purchase Products from the Seller, submitted through the Website's checkout process.
- "Order Confirmation": Refers to the automated email sent by the Seller acknowledging receipt of the Customer's Order.
- "Dispatch Confirmation": Refers to the email sent by the Seller confirming that the Products have been dispatched for delivery, which constitutes the legal acceptance of the Order.
- "Force Majeure": Refers to any event beyond the reasonable control of the Seller, including but not limited to acts of God, war, terrorism, civil unrest, pandemics, labor disputes, or failure of public utilities.
- "AED": Refers to the lawful currency of the United Arab Emirates, the Dirham.
- "VAT": Refers to the Value Added Tax as stipulated by the UAE Federal Tax Authority.
2. Eligibility and User Accounts
2.1. Age of Majority
To be eligible to place an Order and enter into this binding Agreement, you must be at least 18 years of age and possess the full legal capacity to form a binding contract. By placing an Order, you represent and warrant that you meet these eligibility requirements. This is a standard and necessary precondition for e-commerce transactions to ensure legal enforceability.
4 Individuals under the age of 18 are prohibited from registering as users of this Website and are not permitted to transact on it.
62.2. Account Creation and User Responsibilities
While purchases may be made as a guest, creating a user account may provide a more streamlined experience. Should you choose to create an account, you agree to provide information that is true, accurate, current, and complete in all respects. You are responsible for promptly updating your account information, including your contact details and delivery address, to ensure its continued accuracy.
The requirement for accurate data is not merely an operational necessity for order fulfillment. It is also a component of our compliance with the UAE's data protection framework. Federal Decree Law No. 45 of 2021 (the Personal Data Protection Law, or "PDPL") mandates that personal data processed by a controller must be accurate and updated where necessary.
8 By placing a contractual obligation on the user to provide correct information, we facilitate our compliance with these legal requirements, thereby protecting both the Customer's and the Seller's interests.
2.3. Account Security
You are solely responsible for maintaining the confidentiality and security of your account password and other login credentials. You accept full responsibility for all activities, including all Orders placed, that occur under your account. You must notify us immediately at info@goodwood.ae if you know or suspect that the security of your account has been compromised. The Seller shall not be liable for any loss or damage arising from your failure to comply with this security obligation, a principle widely adopted in e-commerce to allocate responsibility for account security appropriately.
63. Orders and Contract Formation
3.1. The Order as an Offer
The presentation of Products on the Website constitutes an "invitation to treat," not a binding offer to sell. When you submit an Order through our checkout process, you are making a formal legal offer to purchase the selected Products at the prices indicated, subject to these Terms and Conditions. This legal distinction is fundamental to contract law and provides a necessary control mechanism for the Seller in the e-commerce environment.
3.2. Order Acknowledgement and Acceptance
Upon receiving your Order, we will send an automated Order Confirmation email to the address you provided. This email is for informational purposes only and serves to acknowledge that we have received your offer.
This Order Confirmation does not constitute a legal acceptance of your Order.A binding contract between you and the Seller is formed only at the point when we dispatch the Products to your specified delivery address and send you a Dispatch Confirmation email. This two-stage process of acknowledgement followed by acceptance is a critical risk management tool. It allows us to verify stock availability, confirm payment details, and check for any pricing errors or potential fraud before being legally bound to fulfill the Order. Should any issues arise after your offer is made but before our acceptance, we retain the right not to proceed with the contract, thereby preventing situations where we would be in breach for being unable to fulfill an order due to unforeseen circumstances.
63.3. Right to Refuse or Cancel Orders
We reserve the right, at our sole discretion, to refuse or cancel any Order for any reason prior to dispatch. Circumstances that may lead to the cancellation of an Order include, but are not limited to:
- The Product being out of stock or discontinued.
- Inaccuracies or errors in product descriptions or pricing information.
- Issues identified by our credit and fraud prevention department.
- Failure to meet the eligibility criteria set out in these Terms.
If we cancel your Order after your payment has been processed, we will issue a full refund to your original method of payment in a timely manner. This right of refusal is a standard and necessary protection for online retailers against operational errors and fraudulent activities.
43.4. Product Information and Disclaimers
We make every reasonable effort to ensure that all details, descriptions, images, and prices of Products appearing on the Website are accurate at the time of entry. However, we do not warrant that the product descriptions or other content are error-free.
Please be aware of the following inherent characteristics of furniture products:
- Colors: The colors of Products you see on your screen depend on your monitor and display settings. Therefore, we cannot guarantee that your monitor's display of any color will be an accurate representation of the actual product color.5
- Dimensions: All dimensions provided are approximate. It is your responsibility to ensure that the product dimensions are suitable for your space and access points.
- Natural Materials: Products made from natural materials such as wood will have variations in grain, color, and texture. These are not considered defects but are part of the unique character of each piece.
- Illustrations: Product photos are for illustrative purposes only and may show accessories or settings that are not included with the product itself. Please refer to the written product description for a detailed list of what is included.5
4. Pricing and Payment
4.1. Currency and Pricing
All prices displayed on the Website are in UAE Dirhams (AED) and are inclusive of the 5% Value Added Tax (VAT) as mandated by the UAE Federal Tax Authority. The price you pay is the price displayed at the time you place your Order. Delivery charges are not included in the product price and will be calculated and displayed separately during the checkout process. We reserve the right to change prices at any time without prior notice, but such changes will not affect Orders for which a Dispatch Confirmation has already been sent.
4.2. Accepted Payment Methods
We accept payment via Visa and MasterCard credit/debit cards. All online payments are processed through a secure and licensed third-party Payment Service Provider (PSP) that is compliant with the Payment Card Industry Data Security Standard (PCI DSS). We do not store your full credit card details on our servers.
4.3. Payment Security and Authorization
By placing an Order, you authorize us to debit the total amount from your selected payment card. You confirm that the payment card being used is yours or that you have been specifically authorized by the owner of the card to use it. All cardholders are subject to validation checks and authorization by the card issuer. If the issuer of your payment card refuses to authorize payment to us, we will not be liable for any delay or non-delivery.
In line with standard e-commerce practice in the UAE, you, as the cardholder, must retain a copy of the transaction records and be aware of our merchant policies and rules.
44.4. Compliance with Central Bank Regulations
All payment processing activities are conducted in strict adherence to the regulations established by the Central Bank of the UAE. This includes compliance with the regulations governing Retail Payment Services and Card Schemes.
10 A critical component of these regulations is the requirement for all user and transaction data to be securely and physically stored within the borders of the United Arab Emirates for a minimum period of five years.
11 Our choice of PSP and our internal data handling procedures are designed to meet this non-negotiable data residency requirement, ensuring the highest level of regulatory compliance and data security for our customers' financial information.
5. Delivery and Assembly
5.1. Delivery Area and Charges
We offer delivery services to most areas within the United Arab Emirates. The specific delivery zones and applicable charges will be detailed on our Website and calculated at checkout. We may offer free delivery for Orders exceeding a certain value, the terms of which will be clearly stated as part of any promotion.
125.2. Scheduling and Customer Obligations
The delivery of furniture is a complex logistical process that requires your cooperation. By placing an Order, you agree to the following obligations:
- Access Verification: It is your sole responsibility to measure all relevant access points, including doorways, corridors, elevators, and staircases, to ensure that the ordered Product can be delivered to your desired room without issue. The Seller is not responsible for deliveries that fail because the Product does not fit.12
- Area Preparation: You must ensure that the delivery area is clear and safe for our delivery team. This includes removing any obstacles or fragile items.
- Presence for Delivery: You or an authorized adult (18 years or older) must be present at the delivery address at the agreed-upon time to accept and sign for the delivery.
- Failed Delivery Attempts: If a delivery attempt fails due to your non-compliance with these obligations (e.g., you are not home, the access is blocked, or the item does not fit), we reserve the right to charge a redelivery fee for any subsequent attempt.12
These clauses are not merely logistical guidelines; they are essential for the fair allocation of liability. By contractually defining the customer's responsibility to ensure adequate access, we mitigate the significant financial and operational costs associated with failed deliveries, a common challenge in the furniture industry. This allows us to maintain competitive pricing and efficient service.
5.3. Transfer of Risk and Title
The risk of loss or damage to the Products shall pass to you upon the completion of delivery, confirmed by your signature (or that of your authorized representative) on the delivery note. However, the legal title and ownership of the Products will not pass to you until we have received payment in full for the Products.
65.4. Inspection upon Delivery
You are required to inspect the Products for any visible damage, defects, or shortages at the time of delivery. Any such issues must be clearly noted on the delivery note before our delivery team departs. For any concealed damage not visible at the time of delivery, you must notify our Customer Service team within 48 hours of receipt, providing photographic evidence. Failure to report damage within this timeframe may affect your ability to claim for a replacement or refund.
65.5. Assembly Services
The product page will specify whether assembly is included with delivery, available as an optional paid service, or is the customer's responsibility. If you opt to assemble the Product yourself or use a third-party service, the Seller shall not be liable for any damage to the Product or property, or any personal injury, resulting from incorrect or improper assembly.
6 Our warranty, as detailed in Section 7, will be voided if damage is found to be the result of faulty assembly not performed by our authorized team.
6. Cancellation, Returns, and Refunds Policy
This policy is designed to be fair to our customers while acknowledging the unique logistical and commercial challenges of furniture retail. It is drafted in strict compliance with the UAE Federal Law No. 15 of 2020 on Consumer Protection and its executive regulations.
6.1. Order Cancellation by Customer
You may cancel your Order for a full refund at any time before the Product has been dispatched. To cancel, please contact our Customer Service team with your Order number. If a cancellation request is made less than 48 hours before the scheduled delivery time, a processing and logistics fee may be deducted from your refund.

6.2. Mandatory Returns for Defective or Non-Conforming Goods
In accordance with your statutory rights under UAE Consumer Protection Law, you are entitled to return a Product if it:
- Has a manufacturing defect.
- Was damaged in transit (and reported as per Section 5.4).
- Does not conform to the description provided on the Website.
In such cases, we will, at our discretion and in compliance with the law, offer a repair, a replacement with an identical or comparable product, or a full refund, including any delivery and collection charges. This is a fundamental consumer right that cannot be waived.
146.3. Returns for "Change of Mind"
We understand that you may sometimes change your mind about a purchase. We offer a 7-day return period for "change of mind" returns, subject to the following strict and essential conditions:
The Product must be returned unused, unassembled, and in its original, unopened, and undamaged packaging.This condition is critical and legally grounded. UAE Consumer Protection Law voids blanket "no return" policies but allows for exceptions where the nature of the product prevents its return.
16 The act of unboxing and assembling furniture fundamentally alters its condition from "new" to "used" or "ex-display." It diminishes its commercial value and makes it impossible to repackage and resell as a new item. Therefore, this policy respects the consumer's right to return an unused product while protecting our business from the significant financial losses associated with accepting returns of used furniture.
6.4. Conditions for All Returns
To be eligible for any return, you must provide:
- The original purchase invoice or Order number.
- The Product in its complete form, including all parts, accessories, manuals, and any free gifts.
- The Product in its original packaging (mandatory for "change of mind" returns).
6.5. Non-Returnable Items
The following items are exempt from our "change of mind" return policy and cannot be returned unless they are defective:
- Any Product that has been assembled, installed, or used.
- Custom-made, bespoke, or special-order Products.
- Mattresses, pillows, duvets, and other bedding items that have been unsealed from their packaging, for hygiene reasons.
- Products sold as "as-is," "clearance," or "ex-display," where any defects were explicitly pointed out at the time of purchase.
These exceptions are standard in the furniture industry and are permissible under consumer protection regulations.
126.6. Return Process and Shipping Costs
To initiate a return, please contact our Customer Service team.
- For Defective Goods: We will arrange for the collection of the Product at our expense.
- For "Change of Mind" Returns: You will be responsible for the cost of return shipping/collection. This fee will be communicated to you and deducted from your total refund amount. This is a standard commercial practice to cover the logistical costs of the return.20
6.7. Refund Processing
Once we have received and inspected the returned Product and confirmed that it meets the return conditions, we will process your refund. Refunds will be issued to the original method of payment within 7-15 business days. Please note that your bank or card issuer may take additional time to credit the amount to your account.
47. Warranty Policy
7.1. Warranty Period
We stand by the quality of our Products. We offer a warranty against manufacturing defects for a specified period from the date of purchase, as indicated on your invoice. The standard warranty period for our furniture is detailed in the table below, which aligns with and in many cases exceeds local industry standards.
187.2. Covered Manufacturing Defects
Our warranty covers defects in materials and workmanship that arise during normal residential use. This includes the structural integrity of the Product, such as frames, springs, and mechanisms. Specific coverage details are provided in the summary table.
7.3. Warranty Exclusions
The warranty is a promise against manufacturing faults, not a guarantee against all potential issues. Therefore, the following are explicitly excluded from warranty coverage:
- Normal Wear and Tear: This includes, but is not limited to, fabric fading or pilling, softening of cushions and padding, and minor scratches or scuffs resulting from regular use.
- Improper Use or Accidents: Damage caused by misuse, abuse, negligence, accidents, cuts, burns, or spills.
- Improper Maintenance: Damage resulting from the use of incorrect cleaning products or methods, or failure to follow care instructions.
- Environmental Factors: Damage caused by exposure to direct sunlight, excessive heat, humidity, or other environmental conditions.
- Alterations and Third-Party Repairs: Any product that has been altered, modified, or repaired by unauthorized personnel.
- Commercial Use: The warranty is valid for domestic residential use only and is void if the product is used in a commercial, contract, or non-residential setting.
These exclusions are standard and necessary to define the scope of the warranty fairly and prevent claims for damage that is not the result of a manufacturing defect.
127.4. Warranty Claim Process
To make a warranty claim, you must:
- Contact our Customer Service team within the warranty period.
- Provide your original proof of purchase (invoice or Order number).
- Submit clear photographs or videos that document the alleged manufacturing defect.
- Our technical team may need to inspect the product in person to validate the claim.
7.5. Seller's Discretion in Resolution
If a claim is validated as a genuine manufacturing defect covered by the warranty, GOOD WOOD FURNITURE TRADING L.L.C. reserves the right, at its sole discretion, to:
- Repair the defective part or component.
- Replace the defective Product with an identical or a reasonably comparable Product if the original is no longer available.
- Offer a store credit for the original purchase value of the Product.
This flexibility allows us to provide the most appropriate and efficient solution for each specific case.

258.2. Reference to Privacy Policy
The collection, use, storage, and protection of your personal data are governed by our separate Privacy Policy, which is available on our Website. The Privacy Policy forms an integral part of this Agreement. By accepting these Terms and Conditions, you also acknowledge and agree to the terms of our Privacy Policy. We urge you to read it carefully to understand our data practices.
8.3. Consent for Communication
By providing us with your contact details (email address, phone number), you consent to receive communications from us that are essential for the processing and fulfillment of your Order. This includes Order Confirmations, delivery updates, and any service-related messages.
We will only send you marketing and promotional communications if you have given your explicit, opt-in consent to receive them. This is a requirement under both the PDPL, which mandates consent as a primary legal basis for processing
8, and the UAE Consumer Protection Law, which specifically protects consumer data from being used for marketing purposes without prior agreement.
14 This dual legal framework underscores the importance we place on respecting your communication preferences. You have the right to withdraw your consent for marketing communications at any time by using the "unsubscribe" link in our emails or by contacting Customer Service.
9. Intellectual Property
9.1. Ownership of Website Content
All content included on this Website, including but not limited to text, graphics, logos, images, audio clips, video clips, data compilations, and software, as well as the overall design and arrangement of the Website, is the property of GOOD WOOD FURNITURE TRADING L.L.C., its affiliates, or its content suppliers. This content is protected by UAE and international copyright, trademark, and other intellectual property laws.
9.2. Limited License for Personal Use
We grant you a limited, non-exclusive, non-transferable, and revocable license to access and make personal, non-commercial use of the Website. This license does not include any right to: reproduce, duplicate, copy, sell, or otherwise exploit the Website or any of its content for any commercial purpose; create derivative works; or use any data mining, robots, or similar data gathering and extraction tools without our express prior written consent.
2910. Limitation of Liability
10.1. Scope of Liability
To the fullest extent permitted by law, the total liability of GOOD WOOD FURNITURE TRADING L.L.C. to you for any and all claims arising out of or in connection with your purchase of a Product, whether in contract, tort (including negligence), or otherwise, shall not exceed the total amount paid by you for that specific Product.
10.2. Exclusion of Indirect or Consequential Damages
In no event shall the Seller be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, loss of business, loss of data, or loss of use, arising from the use of or inability to use the Products or the Website.
10.3. Acknowledgment of Statutory Rights
This limitation of liability clause is drafted to be enforceable under UAE law. UAE law permits the limitation of liability for breach of contract but holds that any clause attempting to exempt a party from liability for a "harmful act" (tort), which includes fraud or gross negligence, is void.
30Therefore, for the avoidance of doubt, nothing in these Terms and Conditions shall limit or exclude our liability for:
- Death or personal injury caused by our negligence.
- Fraud or fraudulent misrepresentation.
- Any breach of the obligations implied by mandatory provisions of the UAE Consumer Protection Law.
- Any other liability that cannot be excluded or limited under the applicable laws of the United Arab Emirates.
This clause does not affect your mandatory statutory rights as a consumer.
11. Governing Law and Dispute Resolution
11.1. Applicable Law
This Agreement and any non-contractual obligations arising out of or in connection with it shall be governed by and construed in accordance with the federal laws of the United Arab Emirates as applied in the Emirate of Dubai.
711.2. Dispute Resolution Process
We are committed to resolving any disputes amicably and efficiently. In the event of a complaint or dispute, we encourage you to first contact our Customer Service team to seek a resolution.
If you are not satisfied with the resolution provided, you have the right to file a formal consumer complaint with the competent authority, the Dubai Department of Economy and Tourism (DET), through their official channels.
31 We will fully cooperate with the DET to resolve any such complaints.
11.3. Exclusive Jurisdiction
Should a dispute not be resolved through the aforementioned channels, the parties irrevocably agree that the Courts of Dubai shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this Agreement.
12. General Clauses
12.1. Force Majeure
The Seller shall not be held liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by a Force Majeure event. In such circumstances, our obligations will be suspended for the period that the event continues, and we will have an extension of time for performance.
12.2. Severability
If any provision of these Terms and Conditions is found by any court or competent authority to be invalid, illegal, or unenforceable, that provision shall be deemed deleted, but the validity and enforceability of the other provisions of this Agreement shall not be affected.
12.3. Entire Agreement
These Terms and Conditions, together with our Privacy Policy and your confirmed Order, represent the entire agreement between you and the Seller in relation to the subject matter and supersede any prior agreement, understanding, or arrangement between us, whether oral or in writing.
12.4. Amendments to Terms
We reserve the right to amend these Terms and Conditions at any time. Any such amendments will be effective immediately upon being posted on the Website. Your continued use of the Website following such a change will constitute your acceptance of the new Terms. The Terms in force at the time you place your Order will govern that specific transaction.
